Qualifying Investors can apply to join our Sophisticated Investor Program. Investors in this program will have access to Fixed Interest, Property and other investment opportunities that are not available to Retail Investors.
Wholesale Investor Opportunities - Background
An issue of securities to the public normally requires a product disclosure statement or prospectus to ensure participants are fully informed about the characteristics of the securities offered, the present position and future prospects of the entity offering the securities. In certain circumstances (as set out in the Corporations Act), an issue of securities can be made to potential Investors without a product disclosure statement or prospectus if the potential investors are deemed to have the capability of having sufficient investment knowledge to make an informed decision.
Potential Benefits for Wholesale Investors
An Investor that is capable of making an investment decision without the need to consider a product disclosure statement or prospectus may obtain a benefit over conventional Retail Investors, as they may qualify to participate in “institutional” or “wholesale” placements of securities, or in “seed capital” and “pre-IPO” investment opportunities. In these circumstances, any information provided to potential Investors will not constitute a product disclosure document or prospectus.
Apply to Join the Questus Wholesale Investor Group
If you satisfy any one of the following three categories, you can apply to join the Questus Wholesale Investor Group.
Professional Investors
A person who controls/manages at least $10 million of investment in securities, or holds a dealer’s licence or investment adviser’s licence.
Sophisticated Investors
A person who has net assets of $2.5 million or has gross income for each of the last two financial years of at least $250,000 a year. This criteria must relate to the same entity to which the offer is made. A qualified accountant must certify that the person/entity satisfies this criteria and this certification must be no more than six months old.
Experienced Investors
Where an offer to a person/entity is made through an Australian Financial Services Licensee (AFSL) or their representative and an AFSL Licensee or their representative is satisfied on reasonable grounds that the person to whom the offer is made has previous experience in investing in securities that allows them to assess:
a) the merits of the offer, and
b) the value of the securities, and
c) the risks involved in accepting the offer, and
d) their own information needs, and
e) the adequacy of the information given by the person making the offer.
Questus has procedures and criteria in place that allows it to assess an Investor’s acceptance as an Experienced Investor. Clients who believe they have the required investment expertise or qualifications and may benefit from participating in and receiving potential offers under any of the above criteria should apply to join the Questus Wholesale Investor Group by completing the appropriate Investor Forms and returning them to Questus, PO Box 1346, Canning Bridge WA 6153.
